Adam provides general commercial advisory legal support to clients, together with advice and support on a full range of mergers and acquisition matters both within and outside the Aviation and Logistics industries.

Adam has extensive experience working in-house holding senior legal positions in several companies including multi-national transport and logistics firms for more than 20 years and has extensive global mergers and acquisitions experience.

Adam’s practice includes:

  • Mergers and Acquisitions – acting for parties to public and private business, material asset and share sales, acquisitions and mergers including new and used aircraft sales and purchase agreements.

  • Corporate and Commercial – negotiating a wide range of commercial contracts including distributor agreements, air, road, rail, port and multi-modal master services and supply agreements, charter and aircraft management agreements, transport and distribution agreements.

  • Competition – providing M&A and other competition law clearance and investigations, immunity applications and competition law advice.

  • Foreign Investment – providing Australian foreign investment clearance support and advice.

  • Leasing and Procurement – advising on leases and tender responses and procurement practices both for industry and government processes.

  • Employment and Engagement – drafting employment and contracting agreements and advising on compliance, enforcement and employment issues generally.

  • Corporate Governance – drafting joint venture agreements, shareholder agreements and other corporate governance agreements and advice to senior management, directors and boards.

  • Safety, compliance and accountability – advising on WHS incidents, compliance programmes and training, together with the implementation of accountability regimes and corporate policies.
